Scope
These terms and conditions ("Terms") apply to all software products offered by Fluent Studio ("we", "us"), including but not limited to FluentOverlay. By downloading, installing, or using our software, you agree to these Terms.
License Grant
We grant you a personal, non-exclusive, non-transferable license to use our software in accordance with these Terms. For one-time purchases (e.g. FluentOverlay Pro), the license is perpetual and valid for the number of devices specified at purchase. License keys for direct purchases are issued and validated through LemonSqueezy. For Microsoft Store purchases, the Store's own licensing terms apply.
Restrictions
You may not copy, modify, distribute, sell, or lease any part of our software, nor may you reverse engineer or attempt to extract the source code. You may not use the software for any unlawful purpose or in any way that could damage or impair our services.
No Warranty
The software is provided "as is" without warranty of any kind, express or implied. We do not warrant that the software will be uninterrupted, error-free, or free of harmful components.
Limitation of Liability
To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising from your use of the software.
Updates
We may provide updates, patches, or new versions of the software. Such updates may be delivered automatically or made available for download. Continued use of the software after an update may be subject to the then-current Terms.
Right of Withdrawal and Refund Policy
For direct purchases through our website (processed by LemonSqueezy): You have the right to withdraw from the purchase within 14 days without giving a reason, in accordance with EU consumer protection law (Widerrufsrecht). However, you acknowledge and agree that by downloading and activating the software immediately upon purchase, you waive your right of withdrawal for digital content pursuant to §356(5) BGB, provided you were informed of this waiver and gave your express consent before purchase. For Microsoft Store purchases: The Microsoft Store's own refund policy applies. Please refer to Microsoft's terms for details. To request a refund for a direct purchase, contact us at support@fluent-studio.com within the applicable refund period.
Subscriptions (Pro+)
Some features (e.g. AI-powered features under 'Pro+') may be offered as monthly or annual subscriptions. Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. You can cancel a subscription at any time; access continues until the end of the current billing period. No partial refunds are given for unused portions of a billing period. Subscription pricing and features are as stated at the time of purchase.
Termination
Your right to use the software ceases automatically if you breach these Terms. We may also terminate or suspend access at any time. Upon termination, you must cease all use and, where possible, uninstall the software.
Governing Law
These Terms are governed by the laws of the Federal Republic of Germany, excluding its conflict of law rules.
Jurisdiction
The exclusive place of jurisdiction for all disputes arising from or in connection with these Terms is Leipzig, Germany, provided you are a merchant, legal entity under public law, or have no general place of jurisdiction in Germany.
